Please read these Terms of Service carefully before using Virl. By accessing or using our platform, you agree to be bound by these terms. If you do not agree, do not use the service.

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Virl ("Company", "we", "us", or "our"), governing your access to and use of the Virl platform, website, APIs, and all related services (collectively, the "Service").

By creating an account, clicking "I agree," or otherwise accessing the Service, you confirm that you are at least 18 years of age (or the age of legal majority in your jurisdiction), have read and understood these Terms, and agree to be bound by them.

If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Services

Virl provides an AI-powered content repurposing and distribution platform that enables users to:

  • Convert long-form content (videos, podcasts, text) into platform-optimized content
  • Generate AI-written text, images, thumbnails, and video clips
  • Auto-publish content to connected social media accounts
  • Schedule, analyze, and manage content across multiple platforms
  • Access AI avatar video generation, brand voice training, and trend monitoring tools

We reserve the right to modify, suspend, or discontinue any feature of the Service at any time with reasonable notice.

3. Accounts & Registration

3.1 Account Creation

You must create an account to access the Service. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for maintaining the confidentiality of your login credentials.

3.2 Account Security

You are responsible for all activities that occur under your account. Notify us immediately at security@virl.ai if you suspect unauthorized access. We are not liable for losses resulting from unauthorized account use due to your failure to protect credentials.

3.3 One Account Per User

Each individual may maintain only one free account. Creating multiple free accounts to circumvent usage limits is prohibited and may result in immediate termination of all associated accounts.

4. Acceptable Use Policy

You agree not to use Virl to:

  • Violate any applicable local, national, or international law or regulation
  • Infringe upon intellectual property rights of third parties
  • Generate, distribute, or publish content that is defamatory, obscene, hateful, or discriminatory
  • Produce spam, unsolicited communications, or manipulative content at scale
  • Impersonate any person, entity, or organization
  • Generate deepfakes or synthetic media to deceive or harm third parties
  • Circumvent, disable, or interfere with security features of the Service
  • Access or scrape the Service by automated means without prior written approval
  • Attempt to reverse engineer, decompile, or extract source code from the Service
  • Use the Service for any illegal financial, political, or election-manipulation activities
  • Publish content that violates the terms of service of connected social media platforms
  • Generate content promoting violence, terrorism, child exploitation, or self-harm

Violation of this policy may result in immediate account suspension, termination, and referral to appropriate authorities.

5. Intellectual Property

5.1 Your Content

You retain full ownership of the source content you upload to Virl (videos, audio, text). By uploading content, you grant Virl a limited, non-exclusive, royalty-free license to process, transcode, and analyze your content solely to provide the Service.

5.2 AI-Generated Outputs

AI-generated content produced from your source material is owned by you, subject to the limitations described in Section 10. You are solely responsible for reviewing and approving all AI outputs before publication.

5.3 Virl Platform

The Virl platform, software, design, trademarks, logos, and all associated intellectual property are owned exclusively by Virl. You may not copy, reproduce, distribute, or create derivative works from our platform without explicit written permission.

5.4 Feedback

If you provide feedback or suggestions about the Service, you grant Virl a perpetual, royalty-free license to use such feedback for any purpose without obligation to you.

6. Payments & Billing

6.1 Subscription Plans

Virl offers Free, Starter, Pro, Business, Agency, and Enterprise plans as described on our Pricing page. Plan features and limits are subject to change with 30 days' advance notice.

6.2 Billing Cycles

Paid subscriptions are billed monthly or annually in advance. Annual subscriptions are non-refundable after the 7-day money-back period except as required by applicable law.

6.3 Usage-Based Charges

Add-on packs (repurpose packs, video clip packs, avatar video packs) are charged at the time of purchase and are non-refundable once consumed. Usage overages on applicable plans are billed at the end of each billing cycle.

6.4 Taxes

All prices are exclusive of applicable taxes (GST, VAT, or other local taxes). You are responsible for all applicable taxes in your jurisdiction. Virl will collect and remit GST for Indian users as required by Indian tax law.

6.5 Failed Payments

If payment fails, your account may be downgraded to the Free tier after a 7-day grace period. We will make reasonable attempts to notify you before downgrading.

7. Refund Policy

We offer a 7-day money-back guarantee on all paid subscription plans. To request a refund, contact support@virl.ai within 7 days of your initial payment with the subject line "Refund Request".

Refunds are not available for:

  • Usage add-on packs that have been fully or partially consumed
  • Subscription fees after the 7-day money-back period
  • Annual subscriptions after the 7-day money-back period
  • Accounts suspended or terminated for violations of these Terms
  • Enterprise custom contracts (governed by separate agreement)

Approved refunds are processed within 5–10 business days to the original payment method.

8. Third-Party Services

Virl integrates with third-party services including but not limited to: Anthropic (Claude AI), OpenAI (Whisper), fal.ai, ElevenLabs, D-ID, Reap, AssemblyAI, Ayrshare, Stripe, Razorpay, Clerk, and Supabase.

Your use of these integrations is subject to the respective third-party terms of service and privacy policies. Virl is not responsible for the actions, content, or privacy practices of third-party services. We make no warranties regarding the continued availability of third-party integrations.

9. Social Media Platform Rules

When using Virl to publish to social media platforms, you acknowledge and agree that:

  • You are solely responsible for complying with each platform's terms of service, community guidelines, and developer policies
  • Virl acts as a tool — we do not guarantee that your content will comply with platform rules
  • Platforms may suspend or terminate accounts that violate their policies, and Virl is not liable for such actions
  • You must have appropriate rights and permissions for all content you publish through our platform
  • Auto-publishing features respect platform rate limits, but Virl is not responsible for temporary publishing failures due to platform API changes
  • You authorize Virl to store OAuth access tokens for connected accounts solely to provide publishing functionality

10. AI-Generated Content

Virl uses artificial intelligence to generate content from your source material. You acknowledge that:

  • AI-generated content may contain inaccuracies, errors, or hallucinations
  • You are responsible for reviewing, verifying, and editing all AI outputs before publication
  • Virl makes no warranty that AI-generated content is original, accurate, or legally compliant
  • AI-generated content may inadvertently resemble existing copyrighted works; you assume all risk of such similarity
  • Virl does not train AI models on your private content without explicit consent
  • Generating content that violates Section 4 (Acceptable Use) using AI tools is strictly prohibited

11. Privacy

Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to data practices described in the Privacy Policy.

12. DMCA / Copyright Policy

Virl respects intellectual property rights and complies with the Digital Millennium Copyright Act (DMCA) and applicable international copyright law.

12.1 Copyright Infringement Claims

If you believe content on Virl infringes your copyright, send a written notice to legal@virl.ai containing:

  • Your name, address, and contact information
  • Identification of the copyrighted work claimed to be infringed
  • Identification of the infringing material and its location on our platform
  • A statement that you have a good faith belief that use of the material is unauthorized
  • A statement under penalty of perjury that the information is accurate and you are the copyright owner or authorized to act on their behalf
  • Your electronic or physical signature

12.2 Counter-Notices

If you believe your content was wrongly removed, you may submit a counter-notice to legal@virl.ai. Repeat infringers will have their accounts terminated.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED, ERROR-FREE OPERATION.

VIRL DOES NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, THAT RESULTS OBTAINED WILL BE ACCURATE OR RELIABLE, OR THAT DEFECTS WILL BE CORRECTED.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VIRL AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO VIRL IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) USD $100.

SOME JURISDICTIONS DO NOT ALLOW EXCLUSION OF CERTAIN WARRANTIES OR LIMITATION OF LIABILITY, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

15. Indemnification

You agree to indemnify, defend, and hold harmless Virl, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) content you upload, generate, or publish through the Service.

16. Termination

Either party may terminate this agreement at any time. You may delete your account from your dashboard settings. Virl may suspend or terminate your access immediately, without notice, for:

  • Material violation of these Terms or the Acceptable Use Policy
  • Non-payment of fees after a grace period
  • Actions that pose legal or reputational risk to Virl or third parties
  • Fraudulent, abusive, or harmful behavior

Upon termination, your right to use the Service ceases immediately. We will delete your data within 30 days of termination in accordance with our Privacy Policy, except as required by law.

17. Governing Law & Dispute Resolution

These Terms are governed by the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Hyderabad, Telangana, India.

Before filing a formal dispute, you agree to contact us at legal@virl.ai to attempt informal resolution. We will endeavor to resolve good-faith disputes within 30 days.

18. Changes to Terms

We may update these Terms from time to time. Material changes will be notified via email and/or a prominent notice in the platform at least 14 days before taking effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
